Agency Partnership Agreement

This Agency Partnership Agreement (hereinafter “Agreement”) is made effective upon clicking “I Agree,” by and between Page Ad OU, and you, hereinafter referred to as the “Agency”.

RECITALS:

  • The Agency wishes to use the services of Page Ads to obtain discounts on certain spending for their clients.
  • The Agency agrees to maintain their minimum account balance to be eligible for an active Agency Account.
  • If the Agency is not operating under the white label arrangement, they agree to display the Page Ads brand in a visible location on their website or application.
  • Page Ads reserves the right to terminate partnership at any time and with any reason, without prior notice.

AGREEMENT:

  1. Non-Compete Agreement The Agency agrees not to enter into or start any business which would be in direct competition with the Page Ads. This shall include any form or manner of pricing that is lower than the amount offered by Page Ads.
  2. Fees With respect to the service packages provided by Page Ads, the Agency agrees to follow a Recurring Payment approach. The Agency undertakes to maintain a minimum account balance to keep their Agency Account active at all times.
  3. Branding Requirement Should the Agency not operate as a white-label service, the Agency is required to display the Page Ads brand in a visible location on their website or application.
  4. Termination Page Ads reserves the right to terminate this Agreement at any time for any reason, without giving any prior warning to the Agency.
  5. Disclosure The Agency agrees to clearly state its affiliation with Page Ads to in all client interactions and promotional materials, avoiding any forms of misrepresentation.
  6. Disclaimer By agreeing to this, the Agency acknowledges that any violation of this agreement may result in termination of their partnership and/or legal action against the Agency for any damages caused by the violation.
  7. Governing Law This Agreement shall be governed by and construed in accordance with the laws of Estonia.

By clicking “I Agree,” the Agency acknowledges that they have read, understood, and agreed to the terms and conditions herein. Agency understands that failure to comply with this Agreement may result in legal action and termination of the Agency’s access to the program.
